LIMITED WHOLESALER WARRANTY - COMPONENT PARTS

Reyburn Pianoworks Inc. ("Manufacturer") warrants to the original purchaser ("Purchaser") that component parts manufactured or supplied by Reyburn Pianoworks Inc. shall be free from defects in materials and workmanship for a period of twelve (12) months from the date of delivery.

ACKNOWLEDGMENT AND ACCEPTANCE OF WARRANTY TERMS

This Limited Warranty constitutes Reyburn Pianoworks Inc.'s sole and exclusive warranty policy for all component parts sold to professional purchasers. These terms represent Reyburn Pianoworks Inc.'s standard warranty policy and apply uniformly to all component parts transactions. By placing an order, accepting delivery, making payment, or using any products supplied by Reyburn Pianoworks Inc., Purchaser affirmatively acknowledges, agrees to, and accepts the following:

(a) Professional Status: Purchaser represents that Purchaser is a professional piano technician, piano rebuilder, or trade professional with specialized knowledge, skills, and expertise in piano restoration, keyboard installation, action regulation, and precision retrofit work.

(b) Understanding of Terms: Purchaser has read, understands, and accepts all terms and conditions of this Limited Warranty, including all warranty exclusions, limitations of liability, disclaimer of implied warranties, and the twelve (12) month warranty period.

(c) Nature of Products: Purchaser understands that all products are precision-engineered component parts designed for custom retrofit applications requiring substantial professional modification, fitting, installation of additional components, regulation, and integration work by the Purchaser.

(d) Commercial Reasonableness: Purchaser acknowledges that the warranty period, limitations, and exclusions are commercially reasonable given: (i) the intermediate nature of component parts requiring substantial modification; (ii) industry standards where new piano manufacturers provide approximately five (5) year warranties on finished pianos and rebuilders provide three (3) to five (5) year warranties on complete restorations; and (iii) the B2B nature of this transaction between commercial parties.

(e) Opportunity to Decline: Purchaser acknowledges having had the opportunity to review these warranty terms before placing an order, to seek alternative suppliers, or decline to purchase if these terms were unacceptable.

(f) No Reliance on Oral Representations: Purchaser acknowledges that no employee, agent, or representative of Reyburn Pianoworks Inc. has made any oral promises, representations, or warranties beyond those contained in this written Limited Warranty, and Purchaser is not relying on any such oral statements.

(g) Binding Acceptance: Purchaser's acceptance of delivery of products constitutes binding acceptance of all terms and conditions of this Limited Warranty. Due to the custom-fabricated, non-fungible nature of all component parts, which are manufactured to buyer-specific dimensions and specifications and cannot be resold in the ordinary course of business, no refunds will be provided. Purchasers with concerns about product quality or conformity must follow the warranty claim procedure described in the "Claim Procedure" section of this warranty, which provides for repair, replacement, or credit at Manufacturer's sole discretion.

Post-Warranty Technical Support

Even after the twelve (12) month limited warranty period expires, Reyburn Pianoworks Inc. will remain available to provide technical support to purchasers within reasonable limitations. We will provide up to thirty (30) minutes of phone or email technical support per keyboard at no charge. Technical support exceeding thirty (30) minutes may be subject to a technical support charge at our standard rates.

Nature of Products

All products sold by Reyburn Pianoworks Inc. are precision-engineered component parts designed for custom retrofit applications. Each keyboard and action is manufactured as an intermediate product requiring substantial professional modification, fitting, installation of additional components, regulation, and leveling by qualified piano technicians or rebuilders before integration into the finished instrument. These components are analogous to unfinished engine blocks requiring professional assembly, machining, and finishing work.

The wooden components of RPW keyboards are manufactured primarily from Eastern White Spruce and other high‑quality woods that are inherently sensitive to environmental conditions, including humidity, temperature, and storage practices. Purchaser, as a professional technician or rebuilder, is expected to understand and manage these environmental factors. Changes in dimension, movement, or cosmetic effects caused by environmental conditions, acclimation, or storage and handling at Purchaser’s facility or in the finished instrument are not defects in materials or workmanship and are not covered by this Limited Warranty

Industry Standards: New piano manufacturers typically provide warranties of approximately five (5) years on complete finished instruments. Professional piano rebuilders typically provide warranties of three (3) to five (5) years on complete restoration projects. This twelve (12) month limited warranty on component parts is consistent with industry practice for intermediate goods requiring substantial professional modification, installation, and integration before becoming part of a finished piano that will be separately warranted by the rebuilder or technician.

Scope of Warranty

This Limited Warranty applies exclusively to component parts manufactured and delivered by Reyburn Pianoworks Inc. (“RPW”) to professional piano rebuilders, piano technicians, and other trade professionals. It does not extend to end‑user piano owners, consumers, or retail purchasers.

This warranty covers only component parts in their as‑delivered condition and does not apply to any products that have been modified, repaired, fitted, installed, or integrated with other components—including, but not limited to, capstans, backchecks, key weights, felt, or other parts—without the express written approval of RPW. Any such modification, repair, fitting, installation, or integration without written approval immediately voids this Limited Warranty.

Warranty Limitation and Termination Upon Installation or Delivery

This warranty automatically expires twelve (12) months from the date of delivery or upon installation of the keyset or action into the end customer’s piano and subsequent delivery to that customer, whichever occurs first. The warranty period covers component parts only while in the Purchaser’s possession during the rebuilding, modification, and preparation process.

Under no circumstances will RPW honor any warranty claim if the Purchaser or any third party has modified, repaired, fitted, installed, or integrated the covered components with other parts without prior written authorization from RPW. Any such actions void the warranty in full.

Reason for Warranty Voidance

RPW operates as a specialized subcontractor that manufactures and supplies custom retrofit piano keyboards for acoustic pianos. In this subcontractor role, RPW cannot reasonably be held liable for modifications, repairs, installations, or integrations performed by outside parties, which may introduce uncontrolled variables, inconsistencies, or substandard workmanship beyond RPW’s oversight and result in performance or quality outcomes below RPW’s standards. For this reason, any alteration or repair to RPW components without express written approval voids this Limited Warranty in its entirety.

This warranty covers only the materials and craftsmanship expressly provided by RPW, as described in the written invoice issued to and accepted by the customer, regardless of the particular package, service tier, or level of preparation selected. If a technician or rebuilder elects to install capstans, backchecks, key leads, or any other additional components themselves rather than contracting RPW to perform such work, the technician or rebuilder assumes full liability for the condition and performance of the keyboard from that point forward, and the warranty is voided.

Likewise, any attempt to perform repairs, adjustments, or modifications to RPW‑provided keys or components without express written approval immediately voids this Limited Warranty and releases RPW from all claims related to the condition or performance of the affected parts.

Upon delivery of the finished piano to the end customer, the Purchaser (technician or rebuilder) assumes full responsibility and liability for the finished instrument and agrees to indemnify and hold harmless RPW from any and all claims arising from the Purchaser’s installation, modification, fitting, repair, regulation, or integration work, or from the condition or performance of the finished piano as delivered to the piano owner.

RPW will evaluate all warranty claims exclusively in accordance with the terms and conditions set forth in this Limited Warranty.

Inspection and Notice Requirements

The warranty period begins upon delivery. For defects not reasonably discoverable through visual inspection, Purchaser must notify Manufacturer within thirty (30) days of discovery, but in no event later than twelve (12) months from delivery. Defects must be identified and reported prior to substantial modification, installation of additional parts, or integration into the piano action. Failure to inspect and provide timely written notice voids this warranty.

Even if a defect in materials or workmanship existed at the time of delivery, no warranty claim will be honored if the twelve (12) month warranty period has expired or the warranty has been voided by modification, installation, integration into a piano, or delivery of the finished instrument to the end customer. The Purchaser is solely responsible for inspecting the component parts and submitting any warranty claims within the warranty period and before performing such work.

Examples of Warranty Coverage include but are not limited to:

CLAIMS THAT MAY BE HONORED (Manufacturing Defects in Component Parts as Delivered):

  • Keys manufactured with incorrect dimensions or tolerances outside specifications

  • Improperly installed or defective components.

  • Defective wood or materials used in manufacturing that manifest within the warranty period if not already voided per the “Scope of Warranty” section.

  • Action parts manufactured by Reyburn Pianoworks with material or workmanship defects present upon delivery

CLAIMS THAT WILL NOT BE HONORED (Not Manufacturing Defects):

  • Damage to keys during installation of capstans, back-checks, lead or copper key weights, key-end felt, or other components by the purchaser

  • Splitting, cracking, or chipping caused by purchaser during installation of component parts

  • Keys requiring additional time for regulation, easing, or leveling (normal professional work required for all piano actions)

  • Keys requiring adjustment to achieve proper dip, let-off, or other regulation parameters (expected professional fitting work)

  • Cosmetic damage occurring during purchaser's modification or installation work

  • Keys damaged due to environmental conditions at purchaser's facility (humidity, temperature extremes)

  • Loss or damage during transit (purchaser must file insurance claim with parcel carrier)

  • Damage from improper handling, storage, or installation techniques

  • Normal dimensional variations within industry tolerances requiring standard professional fitting

Warranty Coverage

During the warranty period, and subject to all terms and conditions set forth in this Limited Warranty, the Manufacturer will, at its sole discretion, provide one of the following remedies for any component part determined to have a covered defect in materials or workmanship: (a) repair of the defective component part, or (b) replacement of the defective component part with a comparable item of equivalent specifications and quality.

The Manufacturer will acknowledge all properly submitted warranty claims within five (5) business days of receipt and, upon confirming that the claim falls within the scope of this Limited Warranty, will proceed diligently to complete the applicable repair or provide a replacement within a commercially reasonable timeframe, not to exceed sixty (60) days from the date the defective component is received by Manufacturer, unless extended by mutual written agreement with the Purchaser.

Transit Loss or Damage

Keyboards or component parts lost or damaged during shipping are NOT covered under this manufacturing warranty. The purchaser is responsible for filing insurance claims with the parcel carrier. Manufacturer will provide reasonable assistance with documentation for insurance claims but is not liable for transit-related loss or damage.

Warranty Exclusions

This limited warranty does NOT cover:

  • Damage caused by improper installation, modification, fitting, regulation, or leveling

  • Products that have been substantially modified or integrated with other components

  • Warping, twisting, cupping, or other dimensional changes in keys or wooden components resulting from inadequate humidity control or environmental conditions at any stage, including storage, service, installation, or use (for example, absence, failure, or misuse of a Damp Chaser or similar humidity control system).

  • Normal wear and tear from use

  • Misuse, abuse, neglect, or accident

  • Products used outside their intended application or specifications

  • Damage occurring during shipping or handling after delivery

  • Products that have been altered without Manufacturer's authorization

  • Defects caused by materials or components supplied or installed by the Purchaser

  • Labor costs, installation expenses, or regulation work

  • Time and effort required for normal professional fitting, regulation, and voicing work

  • Damage to pianos or other property incorporating the component parts

Professional Installation and Purchaser Qualification Requirements

This warranty is valid only when products are installed, fitted, regulated, and integrated by professional piano technicians or piano rebuilders with a minimum of five (5) years of professional experience as a principal occupation in piano rebuilding, with specific expertise in keyboard installation and action regulation work.

Experience Requirement Justification: This experience requirement is based on the complex, precision nature of custom retrofit keyboard and action components, which require advanced professional skills developed through extensive practical experience. This requirement protects both Manufacturer and Purchaser by ensuring products are installed by technicians with the expertise necessary for successful integration.

By purchasing products from Reyburn Pianoworks Inc., Purchaser represents and warrants that Purchaser meets these minimum qualification requirements. Reyburn Pianoworks Inc. reserves the right to require proof of professional experience and qualifications before accepting orders or processing warranty claims. Acceptable proof includes: professional references from piano dealers or rebuilding clients, portfolio of completed restoration projects, Piano Technicians Guild membership or RPT certification, formal piano technology training certificates, or equivalent documentation of professional experience.

Discretionary Waiver: Reyburn Pianoworks Inc. may, in its sole discretion, waive or modify the experience requirement for purchasers who can demonstrate equivalent expertise through formal piano technology education, RPT certification, extended apprenticeship under a master rebuilder with documented supervision, or an exceptional portfolio of completed high-level restoration work.

Installation by unqualified individuals, hobbyists, part-time technicians, or persons with less than five (5) years of professional piano rebuilding experience as a principal occupation voids this warranty entirely. Improper installation, fitting, modification, or regulation also voids this warranty.

Claim Procedure

To make a warranty claim, the Purchaser must contact Reyburn Pianoworks Inc. within the warranty period with proof of purchase, date of delivery, and detailed description of the defect prior to modification or installation of additional components. Photographic documentation of the alleged defect is strongly encouraged. The Manufacturer reserves the right to inspect the component parts in their as-delivered condition before determining warranty coverage. Return shipping costs for warranty evaluation are initially the responsibility of the Purchaser. However, if the warranty claim is accepted by Reyburn Pianoworks Inc. as valid, Manufacturer will: (a) reimburse Purchaser for reasonable outbound shipping costs; (b) perform all necessary repairs or provide replacement at no cost to Purchaser; and (c) pay for return shipping of repaired or replacement components to Purchaser. Shipping costs for claims denied as outside warranty coverage will not be reimbursed.

Remedy Performance Standards 

Manufacturer shall process warranty claims in good faith and perform remedies diligently. In the event a repair or replacement proves unsuccessful after good faith attempts, Manufacturer will provide an alternative remedy (replacement if repair fails, or credit if replacement is unavailable) to ensure the limited remedy achieves its essential purpose. The availability of multiple remedy options (repair, replacement, or credit) ensures this limited warranty provides meaningful protection while maintaining the agreed-upon exclusion of consequential damages.

LIMITATION OF LIABILITY AND REMEDIES

MANUFACTURER'S SOLE OBLIGATION UNDER THIS WARRANTY IS TO REPAIR OR REPLACE DEFECTIVE COMPONENT PARTS OR ISSUE CREDIT FOR THE PURCHASE PRICE OF THE DEFECTIVE COMPONENTS. MANUFACTURER'S LIABILITY UNDER THIS WARRANTY SHALL NOT EXCEED THE PURCHASE PRICE OF THE DEFECTIVE COMPONENT PARTS.

MANUFACTURER SHALL NOT BE LIABLE FOR LABOR COSTS, INSTALLATION EXPENSES, REGULATION WORK, FITTING COSTS, THE VALUE OF ADDITIONAL PARTS INSTALLED BY PURCHASER, THE VALUE OF THE FINISHED PIANO OR ACTION, LOST PROFITS, BUSINESS INTERRUPTION, OR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THE PRODUCT, EVEN IF MANUFACTURER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The exclusion of consequential and incidental damages set forth above is independent of and shall survive any claimed failure of the essential purpose of the limited remedies provided herein. The parties agree that the limited remedies provided represent the agreed-upon allocation of risk between sophisticated commercial parties and that the exclusion of consequential damages shall remain enforceable even if the limited remedy of repair, replacement, or credit is deemed to have failed of its essential purpose.

Non-Transferability and Extended Warranty for Direct Installation

This warranty is provided solely to the original Purchaser and is non-transferable. This warranty does not extend to piano owners or end users.

Exception - Extended Warranty for Reyburn Pianoworks Installation: If the keyboard and action are installed directly by Reyburn Pianoworks Inc. employees (and NOT subcontracted to or installed by a piano technician or rebuilder), a separate five (5) year parts and craftsmanship warranty applies to both the manufactured components and the installation work performed by Reyburn Pianoworks Inc. This extended warranty covers manufacturing defects in the component parts AND defects in the installation craftsmanship performed by Reyburn Pianoworks Inc. employees. This five (5) year warranty automatically applies to all installations performed directly by Reyburn Pianoworks Inc. and will be documented in writing at the time of installation.

DISCLAIMER OF OTHER WARRANTIES

THIS LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. NO EMPLOYEE, AGENT, OR REPRESENTATIVE OF MANUFACTURER IS AUTHORIZED TO EXTEND OR MODIFY THIS WARRANTY. Some jurisdictions do not allow limitations on implied warranties or the exclusion of consequential damages, so the above limitations may not apply in all cases.

Governing Law

This warranty shall be governed by the Uniform Commercial Code as adopted in Michigan and the laws of the State of Michigan, without regard to conflicts of law principles.

Any disputes, claims, or litigation arising from this warranty shall be brought exclusively in the state or federal courts located in Kent County, Michigan, and Purchaser consents to personal jurisdiction and venue in such courts."

Attorney's Fees: In any legal proceeding arising from this warranty, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.

Severability

If any provision of this warranty is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from this warranty. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and the remaining provisions shall continue in full force and effect.

Entire Agreement

This warranty constitutes the entire agreement between Manufacturer and Purchaser with respect to the warranty of component parts and supersedes all prior or contemporaneous oral or written agreements, representations, or understandings regarding such warranty.

Waiver

The failure of Manufacturer to enforce any provision of this warranty shall not constitute a waiver of that provision or any other provision, nor shall it affect Manufacturer's right to enforce such provision at a later time.

Amendment

This warranty may not be modified, amended, or supplemented except by a written document signed by an authorized representative of Reyburn Pianoworks Inc. No employee, agent, or representative is authorized to make oral modifications to this warranty.
